Acorn’s OmniMetrix Subsidiary Expands Remote Monitoring Customer Base and Dealer Network Through Accretive Acquisition of Gen-Tracker

Gen-Tracker's universal, automatic transfer switch (ATS)-based monitoring technology and veteran team extend OmniMetrix's reach to standby generators of virtually any make, model or age

OAKDALE, Minn. and BUFORD, Ga., Sept. 10, 2026 (GLOBE NEWSWIRE) -- Acorn Energy, Inc. (Nasdaq: ACFN), a provider of remote monitoring and control solutions for critical infrastructure, today announced that its OmniMetrix subsidiary has acquired substantially all of the assets of Generator Solutions, Inc., a provider of remote monitoring systems for standby generators under the “Gen-Tracker” brand name, effective September 9, 2026.

Generator Solutions is one of the longest-standing independent generator monitoring providers, with approximately $1.1M in recurring annual monitoring revenue and $400,000 in annual monitoring equipment sales. Since its founding in St. Paul, Minnesota in 2001, Generator Solutions has established Gen-Tracker as one of the most respected monitoring platforms in the commercial and industrial standby generator market.

Agreement Terms
Pursuant to the asset purchase agreement, OmniMetrix paid $1.0M in cash at closing and agreed to make additional cash payments of $450,000 per year, for each of the next four years, and a final payment of $700,000 in the fifth year, for total consideration of $3.5M. Acquired assets include the company’s customer accounts, dealer relationships, trade names, trademarks, technology, accounts receivables and hardware inventory.

Every full-time Generator Solutions employee has joined OmniMetrix and will continue to work from the existing Minnesota location. The team brings decades of combined, hands-on experience in standby power, automatic transfer switch (ATS) integration and generator dealer support.

Two Complementary Approaches, One Provider
Generator Solutions has historically competed with OmniMetrix in the commercial and industrial standby generator monitoring market, and its flagship Gen-Tracker product takes a fundamentally different path to the same goal. Rather than connecting to the generator’s engine controller, Gen-Tracker monitors generator readiness through the ATS –– a design that works across generators of virtually any make, model, or age, including the large installed base of older units that predate modern controllers.

Combined with OmniMetrix’s controller-level, enterprise-grade platform, the two approaches give dealers and end customers a single source for:

  • Deep diagnostics on modern, controller-equipped generators
  • Universal readiness monitoring on legacy, orphaned and mixed-brand fleets
  • One provider and one support organization for a facility portfolio, regardless of what’s behind the door

CEO Commentary
Acorn and OmniMetrix CEO, Jan Loeb, commented, “Gen-Tracker is a proven, first-class solution that builds on our capabilities and market leadership, while extending our service reach. By combining our controller-level and enterprise-grade monitoring with Gen-Tracker’s ATS-based universal monitoring approach, we can now serve a broader range of customers and generator environments than either company could alone.

“Importantly, we’re adding a team that has spent 25 years in this market, bringing deep expertise in transfer switches, field installation, and dealer support to make OmniMetrix an even stronger partner to every customer we serve.

“Based on OmniMetrix’s first half monitoring revenue of $2.8M, we expect the acquisition to increase annualized monitoring revenue by at least 15%. We also expect the transaction to be accretive to our 2027 net income by at least $0.10 per diluted share.

“After an extended process of dialogue and evaluation, we are excited to welcome the Gen-Tracker operations to the OmniMetrix family, and we look forward to leveraging our collective strengths to drive continued growth across the business.”
